Terms & Conditions
These terms govern the provision of services and products by Xenox IT Sicherheitstechnik GmbH and Xenox IT Sicherheitstechnik Systems LLC (together "Xenox"). Individual service agreements may include additional provisions. In case of conflict the service agreement prevails.
1. Scope of services
Xenox provides consulting, integration, managed services, hardware and software according to the agreed statement of work or order form. Deliverables, timelines and responsibilities are defined in the respective contract documents.
2. Customer obligations
The customer ensures access to systems, facilities and information required to perform the services and provides a designated point of contact. The customer is responsible for obtaining necessary permits and approvals.
3. Fees & payment
Fees are specified in the service agreement or order form. Unless otherwise agreed, payments are due within 30 days of invoice date. Prices are exclusive of taxes. Xenox may suspend services for overdue invoices after prior notice.
4. Service levels
SLAs are defined in the service description and apply only if expressly agreed. Failure to meet an SLA entitles the customer to service credits as sole remedy, unless otherwise mandated by law.
5. Liability
Xenox is liable without limitation for intent, gross negligence and injury to life, body or health. For slight negligence Xenox is liable only for breach of material contractual obligations (Kardinalpflichten) and limited to foreseeable damages. Liability for indirect damages, loss of profit or data is excluded unless caused intentionally.
6. Confidentiality & data protection
Both parties treat confidential information with the same care they apply to their own confidential data. Data processing is governed by the privacy policy and, where required, a data processing agreement.
7. Term & termination
Contracts run for the term specified in the agreement. Either party may terminate for cause if the other party materially breaches the agreement and fails to cure within 30 days of written notice.
8. Governing law
Agreements with Xenox IT Sicherheitstechnik GmbH are governed by German law with Hamburg as place of jurisdiction. Agreements with Xenox IT Sicherheitstechnik Systems LLC are governed by the laws of the United Arab Emirates with Dubai courts having jurisdiction.
9. Changes
Xenox may amend these terms with reasonable notice. Continued use of the services after the effective date constitutes acceptance. Material changes affecting obligations will be communicated 30 days in advance.
